The net result of unauthorised uses of the contents of this Site is to deprive the copyright holder of benefits. It is akin to republishing an article or book without that persons permission.
To resolve this issue, ct-graphics will allow unauthorised uses of any part of this Site on the following conditions between Us and the unauthorised user (Referrer) which include payments in respect of benefits accrued by the Referrer through use of the Site's contents and any consequent losses to Our Site under the Agreement below. Where Our content is used without Our permission the following Agreement applies
IF YOU DO NOT WISH TO ACCEPT THE AGREEMENT BELOW,
DO NOT USE OUR MATERIALS WITHOUT PERMISSION.
1) The Referrer will pay US$80.00 per incident per month for using any Materials of Our Site directly.
2) The Referrer will pay US$60.00 per incident per month for using any Materials of Our Site indirectly.
3) The Referrer agrees to indemnify ct-graphics.com for any loss, damage etc. etc. as a result of their use of Our content. In particular, the Referrer agrees to pay an indemnity of US$20,000.00 in the event Google, Yahoo!! or any other search engine/directory bans or refuses to list either Site.
4) The Referrer agrees to pay any and all costs, including all legal fees, incurred by any party whatsoever in respect of his Agreement, including resolving any anomalies, whether or not the Referrer is at fault or not.
5) The Referrer will pay ct-graphics a 50% commission on all earning made through their site and disclose (at their own expense) all financial information relating to their company/companies, site(s) and personal finance of themselves, their employees and family each month.
6) The Referrer agrees that ct-graphics may increase and vary the the fees charged at his sole discretion. For convenience, the Referrer agrees that ct-graphics may charge a single covering fee each month to cover all the individual items with the option for the Referrer to request a refund on them on providing a detailed summary of the individual items.
7) Ct-graphics will invoice sites in advance at monthly intervals. The Referrer shall make payment in full by cheque to to ct-graphics. Monthly charges will be made in respect of any period within a calendar month (ie part of any calendar month is chagred as a full month). Payments will be made within 14 days and thereafter shall accrue late payment charges of US$200.00 per reminder. Payments made that are not honoured by the financial institution on which they are drawn accrue a charge of US$1,000.00.
8) The Referrer may not seek to transfer any assests or money away from the Referrer, their companies, sites or any entity from which ct-graphics may seek payment without first obtaining permission from ct-graphics and paying a 5% commission to ct-graphics.
9) In the event that the Referrer wishes to terminate the Agreement on receipt of the initial invoice, they may remove ct-graphics' contents, company name,
trademark and intellectual property from their site(s) and search engines/directories, give a written undertaking not to employ any of ct-graphics' content on any of their sites and pay an administration fee of US$550.00 in lieu of monies owed and to cover legal fees already incurred. Should this Agreement be broken, the Referrer undertakes to make prompt payment of all outstanding monies invoiced and pay ct-graphics as if they had continued to use ct-graphics' content continously from the date of the first invoice, whether they had or not.
10) There is no need to contact ct-graphics to set up the arrangement. Since duplicating of Our content, "shadow" domains, sneaky 302 redirects, redirects through cloaking, framed redirects, full or partial mirrors of Our Site, etc. require a concious act to set up, the mere setting up of an unauthorised use will be taken as acceptance of this Agreement.
Ct-Graphics hereby notifies the Referrer that any or all communications with this Site can and will be monitored, captured, recorded, and transmitted to the authorities as deemed necessary by ct-graphics in its sole discretion and without further notice. If necessary and in accordance with applicable law, ct-graphics will cooperate with local, state, federal, international and/or worldwide government authorities to protect this Site, its visitors, customers and respective members from the unauthorized use of this Site.
THIS AGREEMENT COVERS ALL UNAUTHORISED USES OF THE CONTENTS OF THIS SITE.
IF YOU DO NOT WISH TO ACCEPT THE ABOVE AGREEMENT,
DO NOT USE OUR MATERIALS WITHOUT PERMISSION.

Invalidity
If any provision of this Agreement shall be determined to be unenforceable as applied to any particular case or circumstance, the provision or provisions in question shall not be unenforceable in any other case or circumstance, nor shall any other provision or provisions herein contained thereby be or become unenforceable and such provision shall be reformed so that it would be enforceable to the maximum extent permitted in such circumstances.
